STANDARD TERMS AND CONDITIONS OF SALE
These terms and conditions govern the sale of services and products by G&H Human Resources and Trading Company Limited ("G&H") and apply to all transactions unless specifically agreed otherwise in writing. By engaging with G&H, you agree to the following terms and conditions:
- Acceptance of Terms By placing an order with G&H, the client explicitly agrees to these standard terms and conditions of sale and waives any conflicting or differing terms in its own standard terms and conditions. Any deviations from these terms must be expressly agreed to in writing prior to the commencement of any services or transactions.
- Payment Terms
- All invoices issued by G&H are payable within 21 working days, unless otherwise stated on the invoice or in the order confirmation.
- In the event that payment is not made by the due date, G&H reserves the right to charge a fixed interest of 10% on the outstanding balance.
- If payment remains unpaid for more than 60 days, G&H reserves the right to engage a debt recovery agency to collect the outstanding amount, and all associated legal costs shall be borne by the client.
- Late Payment and Service Suspension G&H reserves the right to suspend the provision of services or delivery of goods without prior notice if payment has not been received by the due date. G&H will not be held liable for any damages or loss caused due to such suspension.
- Withholding Tax Certain jurisdictions may impose withholding taxes on payments for services or goods. It is the client's responsibility to ensure that any withholding taxes are paid directly to the tax authorities in their jurisdiction. The full invoice amount remains due to G&H, and the client is responsible for any additional costs arising from the taxation legislation of their location.
- Obligations of G&H
- G&H strives to deliver high-performance services in accordance with the agreed timelines. However, all services are provided on a best-efforts basis and G&H does not guarantee specific results.
- G&H will not be held liable for any claims for damages arising from the client’s relationships with third parties, including end consumers. G&H is not required to participate as a third party in any legal claim or action filed by an end consumer against the client.
- Claims and Complaints
- Any claims for damages or complaints regarding services provided by G&H must be submitted in writing by recorded delivery to our registered office within 8 days of delivery or provision of services.
- G&H will not accept any claims or complaints after this period has expired.
- Governing Law All contractual relations between G&H and the client will be governed by and construed in accordance with the laws of Hong Kong. Any disputes arising under this agreement will be subject to the exclusive jurisdiction of the courts in Hong Kong.
- Miscellaneous
- G&H reserves the right to amend or update these terms and conditions at any time, and any changes will be communicated to the client in writing.
- The client’s continued engagement with G&H after such amendments constitutes acceptance of the updated terms and conditions.
